1. Acceptance of Terms
By accessing or using FlowSync Software ("FlowSync," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Services.
These Terms apply to users, business customers, and authorized users of the FlowSync platform. If you are using FlowSync on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
FlowSync primarily provides business-to-business software services to home-service businesses, including HVAC, plumbing, electrical, general contracting, handyman, appliance repair, and related businesses.
2. Description of Services
FlowSync is a cloud-based field service management platform that helps businesses manage customer communications, calls, scheduling, dispatching, quoting, invoicing, payments, customer relationships, field operations, and related business processes.
Depending on the subscription and features selected, the Services may include: AI-powered call reception; call recording and transcription; appointment scheduling; dispatch and field operations; customer relationship management; quoting and price books; invoicing and payment processing; customer communications; SMS messaging; customer portals; technician and employee management; reporting and business analytics; integrations with third-party services; and other features made available by FlowSync from time to time.
FlowSync is a software provider. FlowSync does not provide HVAC, plumbing, electrical, construction, repair, maintenance, or other underlying services to your customers. The business using FlowSync remains solely responsible for the services it provides to its customers.
3. Customer Responsibilities
If you use FlowSync on behalf of a business ("Customer"), you are responsible for: providing accurate account and business information; maintaining the confidentiality of account credentials; managing your employees and authorized users; ensuring that your users comply with these Terms; ensuring that information entered into FlowSync is accurate; complying with all laws and regulations applicable to your business; obtaining and maintaining all licenses, permits, insurance, and professional qualifications required for your business; ensuring that your customer communications are lawful and accurate; obtaining all required customer consents and permissions for calls, recordings, SMS messages, emails, and other communications; and ensuring that your use of FlowSync does not violate the rights of any third party.
Customer is solely responsible for the products and services it provides to its customers, including pricing, estimates, quotes, scheduling commitments, warranties, representations, workmanship, licensing, taxes, and customer disputes.
4. SMS and Customer Communications
FlowSync may send transactional SMS messages on behalf of businesses using the platform. Examples may include: call follow-up information; appointment confirmations; appointment reminders; quote or estimate links; invoice links; payment-related notifications; service updates; and post-service review requests.
Customer Consent: The business using FlowSync is responsible for obtaining, documenting, and maintaining all legally required consent or other lawful basis for sending SMS and other electronic communications to its customers. Customer must not use FlowSync to send unsolicited, deceptive, fraudulent, abusive, or unlawful communications. Customer is responsible for ensuring that its messaging practices comply with applicable federal, state, local, telecommunications, privacy, and consumer-protection laws and applicable carrier requirements.
Message Frequency: Message frequency varies based on the customer's interactions with the business and the status of the requested service. FlowSync does not guarantee a specific number of messages per service interaction.
Message and Data Rates: Standard message and data rates from your mobile carrier may apply.
Opt Out: You may opt out of FlowSync SMS communications at any time by replying STOP to a FlowSync message. After receiving a valid opt-out request, FlowSync will process the request and will not send additional SMS messages through the applicable messaging program, except as permitted or required by law or as necessary to confirm the opt-out.

Review Requests: Businesses using FlowSync are responsible for ensuring that review requests and other customer communications are truthful, lawful, and not deceptive or misleading. Customers may not use FlowSync to manipulate, suppress, fabricate, or otherwise improperly influence customer reviews.
5. Accounts and Authorized Users
Certain Services require an account. You agree to provide accurate, current, and complete information when creating and maintaining your account.
You are responsible for: protecting your login credentials; restricting access to authorized users; maintaining appropriate user permissions; and all activity occurring under your account.
You must promptly notify FlowSync if you believe your account has been compromised or accessed without authorization. You may not share account credentials in a manner that circumvents subscription or user limitations.
6. Customer Data
"Customer Data" means information, content, records, files, communications, photographs, documents, customer information, employee information, business information, and other data submitted to or processed through FlowSync by or on behalf of Customer.
As between FlowSync and Customer, Customer retains ownership of Customer Data. Customer grants FlowSync a limited, non-exclusive right and license to host, store, reproduce, transmit, process, display, and otherwise use Customer Data as reasonably necessary to: provide the Services; maintain and operate the platform; provide customer support; maintain security; prevent fraud and abuse; troubleshoot and improve the Services; comply with applicable law; and perform our obligations under these Terms.
Customer represents that it has all rights, permissions, and lawful authority necessary for FlowSync to process Customer Data as contemplated by these Terms. FlowSync does not sell Customer Data. FlowSync may use aggregated or de-identified information that does not reasonably identify Customer or an individual to analyze, operate, secure, and improve the Services.
7. Privacy and Data Processing
FlowSync's collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
FlowSync may process information on behalf of its business customers in order to provide the Services. Business customers remain responsible for determining the purposes for which their customer information is collected and used and for obtaining required permissions and consents. Where applicable, additional data-processing terms may apply to Customer's use of the Services.

8. AI Features
FlowSync may use artificial intelligence and machine-learning technologies to provide features such as: call reception; call transcription; call summaries; information extraction; appointment scheduling; customer communications; recommendations; business insights; and other automated functions.
AI-generated information may contain errors, omissions, or inaccuracies. Customer is responsible for reviewing and verifying AI-generated information before relying upon it for important business, financial, legal, safety, pricing, scheduling, customer-service, or operational decisions. FlowSync does not guarantee that AI-generated information will always be accurate, complete, current, or appropriate for a particular purpose.
AI functionality may depend on third-party technology providers. FlowSync may modify, replace, or discontinue underlying AI technologies or providers as reasonably necessary to operate and improve the Services.
9. Call Recording and Transcription
Depending on the features enabled, FlowSync may record, transcribe, analyze, or otherwise process telephone calls.
Customer is responsible for complying with all applicable laws relating to call recording, monitoring, transcription, notification, consent, and disclosure. Customer must provide any notices and obtain any consents required by applicable law before using FlowSync's call recording or transcription functionality.
FlowSync may process recorded calls and transcripts through third-party service providers as necessary to provide the Services. Additional information regarding call recording and AI processing is provided in our Privacy Policy.
10. Payments and Billing
FlowSync subscription fees are charged according to the pricing plan selected by Customer or otherwise agreed between FlowSync and Customer. Payments may be processed through third-party payment processors, including Stripe. Subscription fees are generally billed monthly unless otherwise agreed.
Unless otherwise stated: subscription fees are non-refundable; cancellation prevents future renewal but does not create a refund for the current billing period; setup, onboarding, implementation, or other one-time fees may be non-refundable once services have begun; and Customer is responsible for applicable taxes and governmental charges associated with its purchase of the Services, excluding taxes based on FlowSync's net income.
If a payment fails or becomes overdue, FlowSync may suspend or restrict access to the Services after providing reasonable notice, subject to applicable law. FlowSync may change its pricing upon reasonable advance notice. Pricing changes will generally apply beginning with the next applicable billing period.
11. Acceptable Use
You may use FlowSync only for lawful business purposes. You may not use FlowSync to: violate applicable law or regulation; send spam or unsolicited communications; send fraudulent, deceptive, abusive, or harassing communications; infringe intellectual property, privacy, publicity, or other rights; distribute malware or malicious code; attempt unauthorized access to the platform or another user's account; interfere with the security or operation of the Services; reverse engineer or attempt to obtain source code from the Services except where expressly permitted by law; circumvent usage, security, or access restrictions; use the platform to facilitate unlawful activity; or otherwise use the Services in a manner that could reasonably harm FlowSync, its customers, its service providers, or other users.
FlowSync may investigate suspected violations and may suspend or terminate access where reasonably necessary to protect the platform, users, or third parties.
12. Intellectual Property
FlowSync and its licensors retain all rights, title, and interest in and to the FlowSync platform and its technology, including: software; source code; object code; designs; interfaces; graphics; logos; trademarks; workflows; documentation; features; algorithms; technology; and other proprietary materials.
These Terms do not transfer ownership of FlowSync intellectual property to Customer. Subject to these Terms and payment of applicable fees, FlowSync grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription period. Customer retains ownership of Customer Data as described above.
13. Third-Party Services and Integrations
FlowSync may integrate with or rely upon third-party services, platforms, telecommunications providers, payment processors, cloud infrastructure providers, AI providers, email providers, and other technology providers.
Third-party services may be subject to separate terms and privacy policies. FlowSync is not responsible for outages, failures, delays, changes, or interruptions caused by third-party services outside FlowSync's reasonable control. FlowSync may add, modify, replace, or discontinue third-party integrations as reasonably necessary to operate and improve the Services.
14. Confidentiality
Each party may receive confidential or proprietary information from the other party in connection with the Services. Each party agrees to use reasonable care to protect confidential information and to use it only as necessary to perform its obligations or exercise its rights under these Terms.
Confidential information does not include information that: is publicly available through no breach of these Terms; was lawfully known before disclosure; is independently developed without use of confidential information; or is lawfully received from a third party without a confidentiality obligation.
A party may disclose confidential information when required by law, regulation, subpoena, or court order, provided that, where legally permitted, reasonable notice is given to the other party.
15. Suspension and Termination
Customer may cancel its subscription in accordance with its applicable subscription terms.
FlowSync may suspend or terminate Customer's access to the Services if: Customer materially violates these Terms; Customer fails to pay amounts due; Customer uses the Services for unlawful purposes; Customer engages in fraudulent, abusive, or harmful activity; Customer's use creates a security risk; continued use could expose FlowSync or another party to legal or regulatory liability; or suspension or termination is otherwise reasonably necessary to protect the Services, users, or third parties.
Where reasonably practicable, FlowSync will provide notice and an opportunity to correct a violation before termination. Upon termination, Customer's right to use the Services will end, except as otherwise provided by these Terms or a separate written agreement.
16. Data Following Termination
Following termination, FlowSync may retain Customer Data for a reasonable period as necessary to: comply with legal obligations; resolve disputes; enforce agreements; maintain backups; prevent fraud or abuse; or otherwise fulfill legitimate business or legal purposes.
Subject to applicable law and FlowSync's technical capabilities, Customer may request an export of Customer Data following termination. After the applicable retention period, FlowSync may delete or de-identify Customer Data. Certain information may remain in backups for a limited period before being overwritten or deleted through normal backup processes.
17. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. FLOWSYNC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR AVAILABLE AT ALL TIMES.
FLOWSYNC DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF AI-GENERATED INFORMATION, THIRD-PARTY SERVICES, GPS INFORMATION, AUTOMATED SCHEDULING, QUOTES, ESTIMATES, CUSTOMER COMMUNICATIONS, OR OTHER AUTOMATED OUTPUT. FLOWSYNC DOES NOT GUARANTEE ANY PARTICULAR BUSINESS RESULT, REVENUE, PROFIT, CUSTOMER ACQUISITION, COST SAVINGS, OR OPERATIONAL OUTCOME.
CUSTOMER REMAINS RESPONSIBLE FOR REVIEWING AND VERIFYING INFORMATION GENERATED OR PROCESSED BY THE PLATFORM. NOTHING IN THE SERVICES CONSTITUTES LEGAL, TAX, ACCOUNTING, MEDICAL, ENGINEERING, OR OTHER PROFESSIONAL ADVICE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSYNC AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSYNC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO FLOWSYNC FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
19. Indemnification
Customer agrees to defend, indemnify, and hold harmless FlowSync and its owners, officers, employees, affiliates, contractors, and service providers from claims, damages, liabilities, losses, costs, and reasonable expenses arising from or relating to: Customer's violation of these Terms; Customer's unlawful use of the Services; Customer Data; Customer's products or services; Customer's communications with its customers; Customer's failure to obtain required consent for SMS, calls, recordings, or other communications; Customer's violation of applicable law or regulation; Customer's infringement or violation of another person's rights; or acts or omissions of Customer or its authorized users.
20. Governing Law and Disputes
These Terms will be governed by the laws of the State of Ohio, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Any dispute arising from or relating to these Terms or the Services will be resolved in the manner and venue required by applicable law or, where permitted, in a court of competent jurisdiction located in Ohio.
FlowSync reserves the right to seek immediate injunctive or equitable relief where necessary to protect its intellectual property, confidential information, security, or other legitimate interests.
21. Changes to These Terms
FlowSync may update these Terms from time to time. For non-material changes, the updated Terms become effective when posted. For material changes, FlowSync may provide additional notice through the platform, by email, or by other reasonable means where appropriate.
The "Last Updated" date at the beginning of these Terms indicates when the Terms were most recently revised. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by law.
22. General Provisions
Entire Agreement: These Terms, together with any applicable order form, subscription agreement, Privacy Policy, and other documents expressly incorporated by reference, constitute the agreement between Customer and FlowSync concerning the Services.
Severability: If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Waiver: A failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.
Assignment: Customer may not assign or transfer these Terms without FlowSync's prior written consent, except where permitted in connection with a merger, acquisition, or sale of substantially all of Customer's assets. FlowSync may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of its assets or business.
Independent Parties: FlowSync and Customer are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship.
Electronic Communications: Customer agrees that electronic communications, notices, records, and signatures may be used in connection with the Services and may satisfy legal requirements for written communications where permitted by law.
